1. Parties

This agreement is between LudoProgramming SRL ("Provider" or "AceEngine") and the Client who purchases an AceEngine licence ("Client" or "Licensee").

2. Definitions

• AceEngine — a SaaS platform offering an AI assistant widget for websites, powered by content indexing and LLMs.
• Licence — the limited, non-transferable, non-exclusive right to use AceEngine on a single authorised domain.
• End User — visitors to the Client's website who interact with the AceEngine widget.
• Usage Data — aggregated statistics on request count and tokens consumed.
• Indexed Content — text automatically extracted from the Client's website used to generate AI responses.

3. Subject matter

• An AI chat widget embedded on the Client's website via a JavaScript snippet;
• Automatic indexing of authorised website content to power the AI model;
• Access to a licence management dashboard, usage analytics, and configuration tools;
• Technical support according to the selected plan.

4. Registration and account

4.1. Access requires authentication via Microsoft Entra ID. The Client is responsible for credential security.

4.2. The Client agrees to provide accurate and up-to-date information. A valid email is mandatory for operational communications.

4.3. Each licence is bound to a single web domain. Use on other domains is strictly prohibited.

5. Plans and payments

5.1. Plans are described at ludoprogramming.com.

5.2. Payment is made in advance. Prices may change with 30 days' notice.

5.3. Upon expiry, the service suspends automatically. The Client may renew at any time.

5.4. No refunds for partially used periods, except where the Provider is solely responsible for major unavailability.

6. Acceptable use

The following uses are prohibited:

• Generating illegal, discriminatory, or defamatory content;
• Phishing, fraud, or deception of End Users;
• Intentionally exceeding quotas or circumventing rate-limiting;
• Reselling or sublicensing without written consent;
• Any activity that could compromise platform security or availability.

7. Intellectual property

7.1. The AceEngine platform, source code, and documentation are the exclusive property of LudoProgramming SRL.

7.2. The Client retains IP rights over their own indexed content.

7.3. The Client grants a limited licence to process their content solely for service delivery.

8. Availability and SLA

8.1. The Provider targets 99% monthly availability.

8.2. Planned updates, force majeure, and third-party outages (Azure, OpenAI) are excluded.

9. Privacy and personal data

Data processing follows the Privacy Policy and GDPR (EU 2016/679).

10. Limitation of liability

10.1. Total liability shall not exceed the amount paid in the preceding 3 months.

10.2. The Provider is not liable for indirect damages or inaccuracies in AI-generated responses.

11. Suspension and termination

11.1. Access may be suspended immediately for breach of Section 6, non-payment, or security risk.

11.2. Clients may terminate at any time via the dashboard. No refunds for unused paid periods.

11.3. Indexed content is deleted within 30 days of termination.

12. Amendments

Amendments are notified by email at least 30 days in advance. Continued use constitutes acceptance.

13. Governing law

This agreement is governed by Romanian law. Disputes are subject to Romanian courts.
